COMMODITY:  CRUDE DEGUMMED SOYBEAN OIL IN BULK (CDSBO).

VESSEL TO SAIL DIRECTLY TO NOMINATED DISCHARGE PORT(S) AFTER COMPLETION OF LOADING (LAST IN/FIRST OUT).  HOWEVER, VESSEL TO HAVE THE PRIVILEGE OF FUELING EN ROUTE.

NON-U.S. FLAG VESSELS MUST NOT BE OLDER THAN TWENTY FIVE (25) YEARS AND MUST BE CLASSED HIGHEST LLOYDS' REGISTER OR ITS EQUIVALENT.  YEAR OF ORIGINAL CONSTRUCTION, NOT REBUILT DATE, TO GOVERN. SHIPMENT ON ISRAELI OR INDIAN FLAG VESSELS IS NOT PERMISSIBLE

OFFERORS SHOULD CONSIDER OFFERING VESSELS TO CARRY A RANGE OF TONNAGES TO ACCOMMODATE PROGRAM NEEDS.

OFFERS OF NAMED VESSELS ONLY WILL BE CONSIDERED. OWNER WILL NOT HAVE THE RIGHT TO SUBSTITUTE WITHOUT CHARTERERS' AND USDA APPROVAL.

VESSELS OFFERED WITH LAYDAYS/CANCELING BEYOND THOSE SPECIFIED ABOVE WILL NOT BE CONSIDERED.

VESSEL'S ITINERARY AND GEOGRAPHIC PROXIMITY OF ANY COMPLETION CARGO(ES) WILL BE TAKEN INTO CONSIDERATION BY CHARTERERS/USDA IN APPROVAL OF SUCH CARGOES IN ORDER NOT TO IMPEDE DELIVERY OF PAKISTAN FFP CARGO.

COMMINGLING OF CARGO FOR OTHER DESTINATIONS IS PROHIBITED.  THE OWNER GUARANTEES THAT NO DANGEROUS CARGO WILL BE SHIPPED ON THE VESSEL AND THE CARGO WILL BE SAFELY SEGREGATED.  OWNERS TO BE RESPONSIBLE FOR THE CONTAMINATION OF CARGO ON BOARD DUE TO LEAKAGE IN PIPES OR FOR ANY OTHER REASON(S).  UPON VESSEL'S SAILING FROM LAST U.S. LOADPORT, COPIES OF THE STOWAGE PLAN AND MANIFEST MUST BE FAXED TO FETTIG & DONALTY, INC. AT 202-639-8276.

ANY ADDITIONAL PREMIUM DUE TO VESSEL (INCL. LIGHTER) AGE, TYPE, CLASS, FLAG, OWNERSHIP OR CONFIGURATION SHALL BE FOR THE OWNERS' ACCOUNT BUT NOT TO EXCEED THE NEW YORK MARKET FOR U.S. FLAG VESSELS OR THE LONDON MARKET BASIS NON-U.S. FLAG VESSELS.  ANY SUCH PREMIUM TO BE PAID DIRECTLY BY THE OWNERS TO THE RECEIVERS AGAINST THE RECEIVERS' INVOICE WITH SUPPORTING STATEMENT FROM THEIR INSURANCE COMPANY.

VESSEL TO PROVIDE MINIMUM 14 DAYS PREADVICE OF VESSEL'S READINESS TO LOAD.  SUCH PREADVICE TO BE GIVEN NOT LATER THAN 1100 HRS NYT ON THE DAY OF SAID NOTICE.

LOADING:  1 TO 3 SAFE BERTHS EACH 1 TO 2 SAFE PORTS USA. THE FOLLOWING AREAS ARE TO BE CONSIDERED, RESPECTIVELY, AS ONE PORT:  MISSISSIPPI RIVER, NOT NORTH OF BUT INCLUDING PORT ALLEN, COLUMBIA RIVER DISTRICT, INCLUDING PORTLAND SAN FRANCISCO BAY AREA, INCLUDING STOCKTON/SACRAMENTO

TANKER BILL(S) OF LADING (CLEAN ON BOARD MARKED FREIGHT PREPAID IN SETS/SPLITS/NUMBERS AS DIRECTED BY CHARTERERS) FOSFA COMBINED MASTER'S CERTIFICATE FOSFA CERTIFICATE OF COMPLIANCE, CLEANLINESS AND SUITABILITY OF SHIP'S TANKS

HEATING INSTRUCTIONS
CERTIFICATE OF ANALYSIS ISSUED BY FOSFA CERTIFIED ANALYST REFLECTING COMPLIANCE WITH PHYSICAL AND CHEMICAL REQUIREMENTS:  SURVEY CERTIFICATE ISSUED BY FOSFA CERTIFIED ANALYST WEIGHT CERTIFICATE ISSUED BY FOSFA CERTIFIED ANALYST NCB TANKING SEALING CERTIFICATE.  NCB CERTIFICATE OF LOADING.  MASTER'S RECEIPT OF SEALED SAMPLES OF THE CARGO.

VESSEL MUST PASS INSPECTION BY A NIOP/FOSFA INTERNATIONAL MEMBER INSPECTOR APPOINTED BY THE SUPPLIER(S) AND/OR CHARTERERS AND BE CERTIFIED AS COMPLIANT WITH FOSFA OPS BEFORE LOADING OR LAYTIME (WHERE APPLICABLE) MAY COMMENCE.  VESSEL IS TO CLEAN TANKS, LINES, AND PUMPS TO INSPECTORS' SATISFACTION, ALL FOR OWNERS' TIME, RISK AND EXPENSE INCLUDING THE PROVISION OF LABOR.  VESSEL TANKS, TANK CONTAINERS, HEATING COILS, PUMPS, AND ANY OTHER EQUIPMENT DEEMED RELEVANT BY INSPECTORS MUST BE CERTIFIED TO BE IN ACCEPTABLE CONDITION FOR CARRYING VEGETABLE OIL.  CERTIFICATES ATTESTING TO SUCH SUITABILITY ARE TO BE SUBMITTED TO CHARTERERS ALONG WITH NOTICE OF READINESS. MASTER TO PROVIDE CERTIFICATE OF TIGHTNESS TO THE SURVEYORS.  INSPECTION CERTIFICATES ARE FOR OWNERS' TIME, RISK AND EXPENSE. IN THE EVENT VESSEL'S TANKS FAIL TO PASS INSPECTION, TEST FOR TRACE CARGOES ARE TO BE EVIDENCED BY A WALL WASH TEST AT OWNERS' EXPENSE.

IN ADDITION TO ABOVE, OWNERS ARE REQUIRED TO PROVIDE AN NCB CERTIFICATION THAT ANY OPENINGS LEADING TO CARGO COMPARTMENTS HAVE BEEN PROPERLY SEALED.

NOR AT LOADPORT TO BE SUBMITTED ONLY AFTER VESSEL HAS PASSED ALL REQUIRED INSPECTIONS AND NOR TO BE ACCOMPANIED BY INSPECTION CERTIFICATES.

OWNERS OR THEIR AGENTS TO RELEASE BILL OF LADING IMMEDIATELY UPON COMPLETION OF LOADING AND WITHOUT ANY UNDUE DELAY.

OWNERS SHALL LIST IN THEIR OFFER THE LAST 3 CARGOES CARRIED (FOR BOTH OCEAN VESSEL AND LIGHTERAGE VESSEL, IF APPLICABLE) IN THE CARGO TANKS AND THE LAST 3 CARGOES PUMPED THROUGH THE CARGO PUMPS AND LINES (IF DIFFERENT) AND CERTIFY IN THEIR OFFER THAT THE LAST 3 CARGOES WERE CLEAN, UNLEADED AND NON-TOXIC. FURTHER, OWNERS TO CERTIFY THAT THE IMMEDIATE PREVIOUS CARGO FOR TANKS, LINES AND PUMP SYSTEM (FOR BOTH OCEAN VESSEL AND LIGHTERAGE VESSEL, IF APPLICABLE) DESIGNATED TO LOAD THE OILS IS IN COMPLIANCE WITH THE NIOP/FOSFA JOINT LIST OF ACCEPTABLE PREVIOUS CARGOES.  OWNERS MUST STIPULATE EXACTLY THE LAST THREE CARGOES CARRIED, WITHOUT STATEMENTS OF "AND OR" OR "WILL BE".  PREVIOUS CARGOES MUST BE FULLY SPELLED OUT WITHOUT ABBREVIATIONS.

FOR NEWLY COATED OR RE-COATED TANKS THAT HAVE NOT CARRIED AT LEAST THREE CARGOES, OWNERS ARE TO LIST IN THEIR OFFER ANY/ALL CARGOES THAT HAVE BEEN CARRIED IN THE TANKS AND MOVED THROUGH THE PUMPS AND LINES AFTER COATING/RE-COATING.  ALSO, OWNERS MUST SUBMIT A COPY OF A SURVEY CERTIFICATE FROM A FOSFA CERTIFIED ANALYST ATTESTING THAT THE VESSEL IS IN COMPLIANCE WITH FOSFA REQUIREMENTS FOR THE CARRIAGE OF EDIBLE OILS.

LOAD TERMS: FREE IN AT NOT LESS THAN 150 MT PER RUNNING HOUR (WITHOUT
GUARANTEE) WITH NO DEM/DES/DET.

OWNER IS RESPONSIBLE FOR ALL CARRYING, INTEREST AND STORAGE CHARGES, IF ANY, BY REASON OF VESSEL'S FAILURE TO PRESENT VALID NOR PRIOR TO THE CANCELING DATE.  IN THE CASE OF ADDITIONAL LOADBERTHS/PORTS:  EVEN IF VESSEL PRESENTS AT FIRST LOADPORT WITHIN THE LAYDAYS, OWNERS REMAIN RESPONSIBLE FOR ANY AND ALL CARRYING, INTEREST AND STORAGE CHARGES AT SUBSEQUENT LOADPORT BERTH/PORTS THAT MAY BE ASSESSED BY COMMODITY SUPPLIER.  CARRYING CHARGES WILL BE ASSESSED THROUGH PRESENTATION/ACCEPTANCE OF A VALID NOR AT EACH LOADPORT.

DISCHARGE TERMS:  BERTH TERMS DISCHARGE WITH DEMURRAGE/DESPATCH. CARGO TO BE DISCHARGED AT THE OWNERS' RISK AND EXPENSE AT THE AVERAGE RATE OF 80 MT PER RUNNING HOUR WWDSHINC.

RECEIVERS TO PAY DEMURRAGE, PROVIDED SUCH DETENTION SHALL OCCUR BY DEFAULT OF RECEIVERS OR THEIR AGENTS, AT THE RATE OF $ _________, U.S. CURRENCY, PER DAY FOR EACH AND EVERY DAY OR PRO RATA FOR PART OF A DAY, FOR ALL TIME USED DISCHARGING IN EXCESS OF ALLOWED LAYTIME.

DESPATCH, IF EARNED AT DISCHARGING, IS PAYABLE BY OWNERS, OR OPERATORS, TO THE RECEIVERS AT THE RATE OF $________, U.S. CURRENCY PER DAY OR PRO RATA FOR PART OF A DAY FOR ALL LAYTIME SAVED IN DISCHARGING.

THE VESSEL IS TO PROVIDE ALL NECESSARY EQUIPMENT INCLUDING MAIN/STRIPPING PUMPS AND HOSES IN GOOD WORKING ORDER TO EFFECT DISCHARGE OF THE CARGO INTO SHORE TANKS AND/OR TRUCKS.  PUMPS MUST HAVE A MINIMUM PRESSURE OF 50 PSI WITH PUMPING CAPACITY OF AT LEAST 150 MT PER HOUR AND BE ABLE TO PUMP WATER WITH ADEQUATE PRESSURE TO CLEAN HOSES AND PIPES AT THE DISCHARGE TERMINAL.  VESSEL DEM/DES AND ALL RELATED TIME COUNTING TO BE SETTLED ON A PRO-RATA BASIS AMONG DIFFERENT SUB-LOT RECEIVERS (IF APPLICABLE).  THE VESSEL IS RESPONSIBLE FOR SWEEPING AND/OR PUDDLING AT THEIR OWN TIME, RISK AND EXPENSE (TIME USED NOT TO COUNT AS LAYTIME).

LAYTIME AT DISCHARGE PORT(S) TO COMMENCE AT 0900 HOURS ON THE NEXT REGULAR WORKING DAY AFTER VESSEL TENDERS HER NOTICE OF READINESS (NOR) IN WRITING, DURING REGULAR BUSINESS HOURS, IE, FROM 0900 HOURS TO 1600 HOURS MONDAY THROUGH FRIDAY ONLY WCCON, WIBON, WIPON, WIFPON. PRIOR TIME, IF USED, NOT TO COUNT. AT THE PORT OF DISCHARGE, VESSEL IS TO BE IN FREE PRATIQUE ON ARRIVAL.  TIME USED FOR CONNECTING AND DISCONNECTING HOSES AT DISCHARGE PORT(S) NOT TO COUNT AS LAYTIME.

SQUEEGEEING AND SWEEPING OF TANKS TO BE FOR OWNER'S ACCOUNT, TIME NOT TO COUNT AS LAY TIME.

ALL PORT CHARGES AT LOAD AND DISCHARGE PORT INCLUDING FACILITY CHARGES, WHARFAGE, DOCKAGE, QUAY DUES OR SIMILAR CHARGES ARE FOR OWNER'S ACCOUNT.

ALL SHIFTING COSTS BETWEEN BERTHS LOAD AND DISCHARGE PORT AND FROM ANCHORAGE TO DISCHARGE BERTH FOR OWNER'S ACCOUNT.  TIME NOT TO COUNT, WHERE APPLICABLE.

TIME USED FOR CONNECTING AND DISCONNECTING HOSES AT DISCHARGE PORT IS NOT TO COUNT AS LAYTIME.

THE OWNERS ARE FULLY RESPONSIBLE FOR THE VESSEL ARRIVING AT THE LOAD/DISCHARGE PORTS WITH AN ACCEPTABLE ARRIVAL DRAFT AND WITHIN ALL PORT RESTRICTIONS.  IF THE VESSEL'S DRAFT EXCEEDS THE ACCEPTABLE SAFE ARRIVAL DRAFT, OR THE VESSEL'S SPECIFICATIONS ARE IN ANY WAY OUTSIDE ACCEPTABLE PORT LIMITATIONS, OWNERS ARE TO BE FULLY RESPONSIBLE FOR ANY AND ALL COSTS IN LIGHTERING THE CARGO INTO ONE SUITABLE TANKER FOR DISCHARGE AT THE BERTH.

LIGHTENING INTO ONE SUITABLE TANKER, IF REQUIRED, IS TO BE AT SHIP OWNER'S TIME, RISK AND EXPENSE.  ANY LIGHTENING TO BE PERFORMED IN THE TERRITORIAL WATERS OF PAKISTAN.  PRIOR TO COMMENCEMENT OF THE LIGHTENING OPERATION, LIGHTER VESSEL TO BE DULY INSPECTED BY A FOSFA-APPROVED SURVEYOR ATTESTING THAT THE VESSEL IS IN COMPLIANCE WITH FOSFA REQUIREMENTS FOR THE CARRIAGE OF EDIBLE OILS. SAID INSPECTIONS TO BE ARRANGED AND PAID FOR BY SHIP OWNER AND CERTIFICATE OF CLEANLINESS TO BE SUBMITTED TO RECEIVERS OR THEIR DISCHARGE PORT AGENTS.

LIGHTER VESSEL TO FILE NOR TO DISCHARGE TO RECEIVERS OR THEIR DESIGNATED AGENTS, WITH THE AFOREMENTIONED CERTIFICATE OF CLEANLINESS. LAYTIME ON MOTHER VESSEL (IN CASE OF PARTIAL LIGHTENING) OR LIGHTER VESSEL WILL COMMENCE AS PER DISCHARGE TERMS STATED IN THIS CHARTER PARTY.  PRIOR TIME USED NOT TO COUNT.  LAYTIME FOR SECOND VESSEL WILL COMMENCE AT 0900 HOURS ON THE NEXT REGULAR WORKING DAY AFTER THE FIRST VESSEL HAS COMPLETED THE DISCHARGING OF ITS CARGO ON BOARD. PRIOR TIME USED SHALL NOT COUNT.

THE PERFORMING VESSEL AND ANY LIGHTERAGE VESSELS UTILIZED MUST COMPLY WITH THE FEDERATION OF OILS, SEEDS AND FATS ASSOCIATION LTD.  "OPERATIONAL PROCEDURES FOR ALL SHIPS ENGAGED IN THE OCEAN AND SHORT SEA CARRIAGE OF OILS AND FATS FOR EDIBLE AND OLEO-CHEMICAL USE" (FOSFA OPS).

OWNER'S TO APPOINT AND PAY CHARTERER'S NOMINATED AGENT AT DISCHARGE PORT.  HOWEVER, AGENCY FEES NOT TO EXCEED CUSTOMARY APPLICABLE FEES.

OFFERS OF U.S. FLAG VESSELS WILL NOT BE CONSIDERED IF THE VESSEL OPERATOR HAS NOT PROVIDED THE MARITIME ADMINISTRATION WITH THE OFFERED VESSEL'S COSTS PRIOR TO SUBMISSION OF THE OFFER.

U.S FLAG VESSELS OFFERED SUBJECT TO MARAD APPROVAL WILL NOT BE CONSIDERED.  IF MARAD APPROVAL OF VESSEL IS REQUIRED, SAME MUST BE OBTAINED PRIOR TO SUBMISSION OF OFFER.

U.S. FLAG APPROVED FREIGHT RATES WILL BE REDUCED TO A LEVEL NO HIGHER THAN THE U.S. MARITIME ADMINISTRATION FAIR AND REASONABLE RATE IN THE EVENT THAT THE ORIGINAL APPROVED VESSEL (INCLUDING ITB) IS SUBSTITUTED BY A LOWER COST VESSEL TO THE U.S. GOVERNMENT.

FOR U.S. FLAG VESSELS LOADING LESS THAN A FULL CARGO, THE LESS THAN FULL CARGO RATE WILL BE SUBJECT TO A REDUCTION TO MEET ANY REVISED MARAD GUIDELINE DUE TO VESSEL LOADING OTHER ADDITIONAL CARGO.

NON-VESSEL OPERATING COMMON CARRIERS (NVOCC) MAY NOT BE EMPLOYED TO CARRY U.S. OR FOREIGN FLAG SHIPMENTS.

U.S. FLAG NON-LINER VESSELS OVER 15 YEARS OLD MUST OFFER AN ALTERNATIVE FREIGHT RATE TO BE APPLICABLE IN THE EVENT THE VESSEL IS EITHER SCRAPPED OR VESEL OWNERSHIP TRANSFERRED TO ANOTHER OWNER AFTER DISCHARGE AT DESTINATION, BUT PRIOR TO ITS RETURN TO THE UNITED STATES.

OFFERORS ARE ENCOURAGED TO PROVIDE THE USUAL INFORMATION SUCH AS: NAME OF OWNER/OPERATOR, FLAG, YEAR BUILT, TYPE, LOA, BEAM, FULLY LOADED DRAFT, GEAR, SPEED AND NO OF TANKS.

FOR NEWLY COATED OR RE-COATED TANKS THAT HAVE NOT CARRIED AT LEAST THREE CARGOES, OWNERS ARE TO LIST IN THEIR OFFER ANY/ALL CARGOES THAT HAVE BEEN CARRIED IN THE TANKS AND MOVED THROUGH THE PUMPS AND LINES AFTER COATING/RE-COATING.  ALSO, OWNERS MUST SUBMIT A COPY OF A SURVEY CERTIFICATE FROM A FOSFA CERTIFIED ANALYST ATTESTING THAT THE VESSEL IS IN COMPLIANCE WITH FOSFA REQUIREMENTS FOR THE CARRIAGE OF EDIBLE OILS.

ALL SHIFTING COSTS BETWEEN BERTHS LOAD AND DISCHARGE PORT AND FROM ANCHORAGE TO DISCHARGE BERTH FOR OWNER'S ACCOUNT.  TIME NOT TO COUNT, WHERE APPLICABLE.

TIME USED FOR CONNECTING AND DISCONNECTING HOSES AT DISCHARGE PORT IS NOT TO COUNT AS LAYTIME.

THE OWNERS ARE FULLY RESPONSIBLE FOR THE VESSEL ARRIVING AT THE LOAD/DISCHARGE PORTS WITH AN ACCEPTABLE ARRIVAL DRAFT AND WITHIN ALL PORT RESTRICTIONS.  IF THE VESSEL'S DRAFT EXCEEDS THE ACCEPTABLE SAFE ARRIVAL DRAFT, OR THE VESSEL'S SPECIFICATIONS ARE IN ANY WAY OUTSIDE ACCEPTABLE PORT LIMITATIONS, OWNERS ARE TO BE FULLY RESPONSIBLE FOR ANY AND ALL COSTS IN LIGHTERING THE CARGO INTO ONE SUITABLE TANKER FOR DISCHARGE AT THE BERTH.

LIGHTENING INTO ONE SUITABLE TANKER, IF REQUIRED, IS TO BE AT SHIP OWNER'S TIME, RISK AND EXPENSE. ANY LIGHTENING TO BE PERFORMED IN THE TERRITORIAL WATERS OF PAKISTAN.  PRIOR TO COMMENCEMENT OF THE LIGHTENING OPERATION, LIGHTER VESSEL TO BE DULY INSPECTED BY A FOSFA-APPROVED SURVEYOR ATTESTING THAT THE VESSEL IS IN COMPLIANCE WITH FOSFA REQUIREMENTS FOR THE CARRIAGE OF EDIBLE OILS.  SAID INSPECTIONS TO BE ARRANGED AND PAID FOR BY SHIP OWNER AND CERTIFICATE OF CLEANLINESS TO BE SUBMITTED TO RECEIVERS OR THEIR DISCHARGE PORT AGENTS.

LIGHTER VESSEL TO FILE NOR TO DISCHARGE TO RECEIVERS OR THEIR DESIGNATED AGENTS, WITH THE AFOREMENTIONED CERTIFICATE OF CLEANLINESS. LAYTIME ON MOTHER VESSEL (IN CASE OF PARTIAL LIGHTENING) OR LIGHTER VESSEL WILL COMMENCE AS PER DISCHARGE TERMS STATED IN THIS CHARTER PARTY.  PRIOR TIME USED NOT TO COUNT. LAYTIME FOR SECOND VESSEL WILL COMMENCE AT 0900 HOURS ON THE NEXT REGULAR WORKING DAY AFTER THE FIRST VESSEL HAS COMPLETED THE DISCHARGING OF ITS CARGO ON BOARD. PRIOR TIME USED SHALL NOT COUNT.

THE PERFORMING VESSEL AND ANY LIGHTERAGE VESSELS UTILIZED MUST COMPLY WITH THE FEDERATION OF OILS, SEEDS AND FATS ASSOCIATION LTD.  "OPERATIONAL PROCEDURES FOR ALL SHIPS ENGAGED IN THE OCEAN AND SHORT SEA CARRIAGE OF OILS AND FATS FOR EDIBLE AND OLEO-CHEMICAL USE" (FOSFA OPS).

OWNER'S TO APPOINT AND PAY CHARTERER'S NOMINATED AGENT AT DISCHARGE PORT.  HOWEVER, AGENCY FEES NOT TO EXCEED CUSTOMARY APPLICABLE FEES.

OFFERS OF U.S. FLAG VESSELS WILL NOT BE CONSIDERED IF THE VESSEL OPERATOR HAS NOT PROVIDED THE MARITIME ADMINISTRATION WITH THE OFFERED VESSEL'S COSTS PRIOR TO SUBMISSION OF THE OFFER.

U.S FLAG VESSELS OFFERED SUBJECT TO MARAD APPROVAL WILL NOT BE CONSIDERED.  IF MARAD APPROVAL OF VESSEL IS REQUIRED, SAME MUST BE OBTAINED PRIOR TO SUBMISSION OF OFFER.

U.S. FLAG APPROVED FREIGHT RATES WILL BE REDUCED TO A LEVEL NO HIGHER THAN THE U.S. MARITIME ADMINISTRATION FAIR AND REASONABLE RATE IN THE EVENT THAT THE ORIGINAL APPROVED VESSEL (INCLUDING ITB) IS SUBSTITUTED BY A LOWER COST VESSEL TO THE U.S. GOVERNMENT.

FOR U.S. FLAG VESSELS LOADING LESS THAN A FULL CARGO, THE LESS THAN FULL CARGO RATE WILL BE SUBJECT TO A REDUCTION TO MEET ANY REVISED MARAD GUIDELINE DUE TO VESSEL LOADING OTHER ADDITIONAL CARGO.

NON-VESSEL OPERATING COMMON CARRIERS (NVOCC) MAY NOT BE EMPLOYED TO CARRY U.S. OR FOREIGN FLAG SHIPMENTS.

U.S. FLAG NON-LINER VESSELS OVER 15 YEARS OLD MUST OFFER AN ALTERNATIVE FREIGHT RATE TO BE APPLICABLE IN THE EVENT THE VESSEL IS EITHER SCRAPPED OR VESEL OWNERSHIP TRANSFERRED TO ANOTHER OWNER AFTER DISCHARGE AT DESTINATION, BUT PRIOR TO ITS RETURN TO THE UNITED STATES.

OFFERORS ARE ENCOURAGED TO PROVIDE THE USUAL INFORMATION SUCH AS: NAME OF OWNER/OPERATOR, FLAG, YEAR BUILT, TYPE, LOA, BEAM, FULLY LOADED DRAFT, GEAR, SPEED AND NO OF TANKS.

SECTION 408 PF THE U.S. COAST GUARD AUTHORIZATION ACT OF 1998, PUBLIC LAW
105-383 (46 U.S.C. SECTION 2302(E) ESTABLISHES, EFFECTIVE JANUARY 1, 1999, WITH RESPECT TO NON-U.S. FLAG VESSELS AND OPERATORS/OWNERS, THAT SUBSTANDARD VESSELS AND VESSELS OPERATED BY OPERATORS OF SUBSTANDARD VESSELS ARE PROHIBITED FROM THE CARRIAGE OF GOVERNMENT IMPELLED (PREFERENCE) CARGO(ES) FOR UP TO ONE YEAR AFTER SUCH SUBSTANDARD DETERMINATION HAS BEEN PUBLISHED ELECTRONICALLY. AS THIS IS PREFERENCE CARGO, OWNERS HEREBY WARRANT THAT
VESSEL(S) ARE NOT DISQUALIFIED TO CARRY THIS CARGO.

OWNERS GUARANTEE THAT VESSEL COMPLIES FULLY WITH THE INTERNATIONAL SAFETY MANAGEMENT (ISM) CODE AND THE INTERNATIONAL SHIP AND PORT FACILITIES SECURITY (ISPS) CODE.  UPON REQUEST, OWNERS TO PROVIDE CHARTERERS WITH A COPY OF THE RELEVANT DOCUMENT OF COMPLIANCE (DOC) AND SAFETY MANAGEMENT CERTIFICATE (SMC) IN REGARD TO THE ISM CODE AND THE INTERNATIONAL SHIP SECURITY CERTIFICATE (ISSC) IN REGARD TO THE ISPS CODE.  OWNERS ARE TO REMAIN FULLY RESPONSIBLE FOR ANY AND ALL CONSEQUENCES FROM MATTERS ARISING AS A RESULT OF THE OWNER OR THE VESSEL BEING OUT OF COMPLIANCE WITH THE ISM AND ISPS CODE.

OWNERS GUARANTEE AND ARE RESPONSIBLE FOR ASSURING THAT THE PERFORMING VESSEL IS FULLY COMPLIANT (AT TIME OF FIXING AND DURING TIME OF PERFORMANCE) WITH ALL INTERNATIONAL REGULATIONS AND PROTOCOLS REGARDING THE CARRIAGE OF CARGO(ES), INCLUDING MARPOL 73/78 ANNEX II REVISIONS, AS WELL AS ALL REGULATIONS OF THE COUNTRIES OF LOADING AND DISCHARGE.  OWNERS CERTIFY THAT THE VESSEL (PERFORMING AND/OR SUBSTITUTE) MEETS OR EXCEEDS THE SHIP TYPE 2 TANK CONFIGURATION REQUIREMENTS OF THE IBC CODE OR, ALTERNATIVELY, THAT THE VESSEL MEETS ALL REQUIREMENTS FOR SHIP TYPE 3 CHEMICAL TANKERS AND RELATED EXEMPTION REQUIREMENTS AS OUTLINED IN MARPOL II ANNEX REGULATION 4.1.3; THAT THE CERTIFICATE OF FITNESS FOR THE VESSEL INDICATES THAT THE VESSEL IS ENTITLED TO OPERATE UNDER THE PROVISIONS OF THIS REGULATION; THAT ALL FLAG STATE AND PORT STATE AUTHORIZATIONS HAVE BEEN RECEIVED OR CONFIRMED, AS NECESSARY; AND THAT THE OWNERS CAN CONFIRM THAT THE VESSEL WILL BE PERMITTED TO BERTH AND LOAD OR DISCHARGE AT ALL PORTS NAMED OR CONTEMPLATED IN THE CORRESPONDING FREIGHT INVITATION.  OWNERS SHOULD BE PREPARED TO SUBMIT COPIES OF DOCUMENTATION EVIDENCING COMPLIANCE WITH MARPOL REGULATIONS UPON REQUEST.

COMMISSION:  2.5% ON FREIGHT/DEADFREIGHT AND DEMURRAGE TO CHARTERER'S AGENT, IF OFFERED DIRECT.  IF BROKER INVOLVED, 2/3 OF 2.5% TO CHARTERER'S AGENT AND 1/3 OF 2.5% TO BROKER.

THE CHARTERER RESERVES THE RIGHT TO ACCEPT OR REJECT OFFER(S).
